These Terms and Conditions govern your access to and use of Keid (the “Service”). By creating an account, accessing, or using the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use the Service.


1. The Service

Keid is a subscription-based online software platform designed to help consultants, freelancers, and agencies manage clients, projects, documents, communication, billing, and operational tasks.

We may update or modify the Service at any time without notice.


2. Eligibility

You must be at least 18 years old and legally capable of entering into binding agreements in your jurisdiction to use the Service.


3. Account Responsibilities

You are responsible for:

  • Maintaining the security of your account and login credentials
  • Ensuring all information you provide is accurate
  • All activity conducted under your account

You must immediately notify us of any unauthorized access or security breach.


4. Subscription, Billing, and Cancellation

  • Keid is offered on a subscription basis.
  • Fees are billed in advance and are non-refundable unless otherwise stated.
  • Your subscription renews automatically unless cancelled before the next billing cycle.
  • You may cancel at any time; cancellation takes effect at the end of your current billing period.

We may change pricing, but will notify you in advance if we do.


5. Acceptable Use

You agree not to:

  • Use the Service for unlawful purposes
  • Upload malicious code or attempt to interfere with the Service
  • Misuse the platform to harass, spam, or harm any user
  • Reverse engineer or attempt to extract source code

We may suspend or terminate your account for violations of these Terms.


6. Data Storage & Availability

We store data on secure third-party cloud infrastructure.
We do not guarantee:

  • Continuous uptime
  • Error-free performance
  • That data will never be lost, corrupted, or unavailable

6.1 No Liability for Data Loss

You acknowledge and agree that Keid is not responsible or liable for any data loss, including but not limited to:

  • Accidental deletion
  • Corruption
  • System failures
  • Third-party infrastructure issues
  • Outages or interruptions

You are solely responsible for maintaining your own backups of any data stored in the Service.

6.2 No Liability for Downtime

The Service may be unavailable from time to time due to maintenance, updates, unexpected outages, or issues outside our control.

Unforeseen downtime or disruptions do not entitle you to compensation, refunds, or damages.


7. Intellectual Property

All intellectual property rights in the Service belong to Keid.
You are granted a limited, non-exclusive, non-transferable license to use the Service for your business operations.

You may not copy, modify, distribute, or create derivative works based on the Service.


8. User Content

You retain ownership of all data and content you upload.
By using the Service, you grant us a limited license to store, process, and display your content solely for the purpose of operating the Service.

Keid does not claim ownership over your client information, documents, communications, or contracts.

8.1 No Liability for Contracts or Agreements

You acknowledge and agree that Keid is not a party to any contracts, agreements, proposals, or other legally binding documents that you create, store, sign, or execute through the platform.
Keid does not verify, enforce, validate, or guarantee the legality, accuracy, or performance of any such agreements.

You bear full responsibility for ensuring that any documents you generate through Keid meet legal requirements in your jurisdiction and are properly executed.


9. Contracts & Agreements Disclaimer

For absolute clarity:

  • Keid provides tools to create, edit, store, and share documents, including proposals and contracts.
  • These tools are provided solely for your convenience and operational workflow.
  • Keid is not liable for any disputes, financial loss, legal claims, misinterpretations, obligations, or damages arising from the creation, acceptance, rejection, modification, execution, or storage of contracts or agreements through the Service.
  • Keid does not act as legal counsel and does not provide legal advice.

You are responsible for obtaining appropriate legal review before using any document created within the Service.


10. GDPR and Privacy

We process personal data in accordance with our Privacy Policy.
You act as the data controller for the client data you upload, and Keid acts as a data processor.

You are responsible for ensuring all rights and consents are obtained before uploading personal or client data.


11. Third-Party Services

The Service relies on external hosting providers, email delivery services, payment processors, and other technical sub-processors.
Keid is not liable for their performance, outages, or actions.


12. Disclaimer of Warranties

To the fullest extent permitted by law, the Service is provided “as is” and “as available” without warranties of any kind.

We expressly disclaim all warranties, including:

  • Fitness for a particular purpose
  • Merchantability
  • Non-infringement
  • Availability, accuracy, or reliability of the Service

13. Limitation of Liability

To the maximum extent permitted by law:

13.1 No Liability for Damages

Keid shall not be liable for any:

  • Loss of profits
  • Loss of revenues
  • Business interruption
  • Loss of data
  • Costs of substitute services
  • Indirect, incidental, punitive, or consequential damages

13.2 Maximum Liability Cap

In any case, Keid’s total cumulative liability shall not exceed the amount you paid in subscription fees during the twelve (12) months preceding the event giving rise to the claim.

13.3 No Legal Claims for Data Loss, Downtime, or Contracts

You agree that you cannot pursue legal claims, damages, or compensation against Keid for:

  • Data loss
  • Downtime or service interruptions
  • Errors or system failures
  • Third-party outages
  • Disputes related to any contracts generated, signed, or shared through Keid

14. Indemnification

You agree to indemnify and hold Keid harmless from any claims, damages, liabilities, costs, or expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Any content or contracts you upload or generate
  • Any disputes between you and your clients

15. Termination

We may suspend or terminate your account at any time for:

  • Violations of these Terms
  • Failure to pay subscription fees
  • Harmful or suspicious activity
  • Legal requirements

You may stop using the Service at any time.

Upon termination, access to your data may be restricted or deleted.


16. Governing Law & Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of Sweden.

Any disputes arising from or relating to the Service shall be resolved exclusively in Swedish courts.

You agree that Swedish jurisdiction applies regardless of your location worldwide.


17. Changes to Terms

We may modify these Terms at any time.
If we make material changes, we will notify you via email or in-app notification.
Continued use of the Service constitutes acceptance of the updated Terms.

We operate as a data processor for our customers, who are considered data controllers under GDPR.

Keid does not access or review this content unless required for support or security purposes.

2.3 Payment Information

Subscriptions are processed through a third-party payment provider.
We do not store full credit card numbers.

  • Browser metadata
  • Interaction logs used for performance, security, and debugging

2.5 Communications

If you contact support, we may store conversation history to assist you.


3. How We Use Data

We use personal data for the following purposes:

  • To operate and provide the Service

  • To maintain security and prevent misuse

Data Processing Agreement (DPA)

This Data Processing Agreement (“DPA”) forms part of the Terms and Conditions between the Customer (“Controller”) and Keid (“Processor”).

It applies when Keid processes personal data on behalf of the Customer under GDPR and other data privacy laws.


1. Definitions

  • Controller – the party determining the purposes and means of processing personal data.
  • Processor – Keid, which processes data on behalf of the Controller.
  • Subprocessor – a third party engaged by Keid to process data.
  • Personal Data – any information relating to an identifiable individual.
  • GDPR – EU General Data Protection Regulation.

2. Role of the Parties

  • The Customer is the Controller.
  • Keid is the Processor.

3. Processing Instructions

Keid will only process personal data:

  • As necessary to provide the Service
  • According to the Customer’s instructions
  • In compliance with applicable laws

Keid will not process personal data for its own purposes.


4. Confidentiality

Keid ensures that all personnel with access to personal data are bound by confidentiality obligations.


5. Security Measures

Keid implements appropriate technical and organizational measures, including:

  • Encryption in transit
  • Secure access controls
  • Audit logs
  • Data redundancy and backups
  • Regular security reviews

6. Subprocessors

Keid may engage subprocessors for hosting, infrastructure, email delivery, payment processing, and related services.

Keid will:

  • Ensure subprocessors meet GDPR standards
  • Maintain responsibility for their performance
  • Make a list of subprocessors available upon request

The Controller may object to a subprocessor if it reasonably believes that the engagement poses a data protection risk.


7. International Data Transfers

Keid may transfer data outside the EU/EEA.
All transfers will comply with GDPR through mechanisms such as:

  • Standard Contractual Clauses (SCCs)
  • Approved certifications
  • Adequate protection measures

8. Assistance to the Controller

Keid will reasonably assist the Controller with:

  • Data subject rights requests
  • Data protection impact assessments
  • Incident investigations
  • Regulatory inquiries

9. Data Breach Notification

In the event of a personal data breach, Keid will:

  • Notify the Controller without undue delay
  • Provide available details of the breach
  • Assist with mitigation and legal obligations

10. Data Retention & Deletion

Upon termination of the Service, Keid will:

  • Delete or return all personal data upon the Controller’s request
  • Delete all remaining backups within a reasonable timeframe, unless required by law to retain them

11. Audits

The Controller may request documentation showing Keid’s compliance.
Formal audits may be permitted under reasonable notice, scope, and conditions.


12. Liability

Keid’s liability under this DPA is limited to the extent allowed by the Terms and Conditions.
Keid is not responsible for:

  • Data uploaded without proper consent
  • Misuse of the platform
  • Legal enforceability of customer-created contracts
  • Controller’s failures to comply with GDPR

13. Duration

This DPA remains in effect as long as Keid processes personal data on behalf of the Controller.


14. Governing Law & Jurisdiction

This DPA is governed by Swedish law, and disputes shall be resolved exclusively in Swedish courts.
